1. The Board of Directors shall consist of the duly elected officers, retiring president and four(4) members to be elected for a peroid of one(1) year.

2. The President-Elect shall serve as Chairman of the Board Of Directors.

The Executive Director shall:

1. Keep an accurate record of the minutes and proceedings of all AAHHP and Board of Directors Meetings.

2. Keep an accurate record of members and their addresses.

3. Keep on file all official papers of the AAHHP and correspondence received and sent out of this office.

4. Keep official papers on file until the Board of Directors instructs him to destroy them.

5. Be the custodian of the seal or signature of this association and affix same on orders of the President or Board of Directors.

6. Assist all committees in performance of their duties.

7. Serve on the Membership Committee.

8. Submit to the executive Director of the APMA a copy of the By-Laws, financial reports and such other documentation as may from time to time be requested.

9. Keep an accurate record of the AAHHP fund, including all receipts and disbursements.

10. Keep an accurate record of the member's dues status.

11. Refrain from obligating the AAHHP upon any unusual indebtness without the consent of the Board of Directors.

12. Present an itemized report of all transactions, to date, to the Mid Winter Meeting of the Board of Directors.

13. Present an itemized report of all transactions, to date, to the annual Meeting of the General Membership.

14. At the end of the fiscal year, the Executive Director shall arrange for an audit of the books of AAHHP and send copies of this audit to the Board of Directors.

15. Be bonded in an amount set by the Board of Directors.

The Editor shall publish and assume the responsibility of mailing or having mailed The Hospital Podiatrist and the Newsletter, the official publications of the AAHHP.

1. Make recommendations for the welfare and advancement of the AAHHP.

2. Establish means of accord between the AAHHP and APMA.

3. Act as an appeals body for any action taken against a member.

4. Act on matters arising during the period between the annual AAHHP meetings. Section B. Duties Of Board Of Directors(Continued).

5. Approve all unusual expenditures of funds not included in the budget for the current year.

6. Vote on membership applications for Membership.

7. Serve as nominating committee to nominate persons for officers, with the exception of President, and for positions on the Board of Directors.

In the event that a vacancy occurs on the Board of Directors, the President shall appoint a member to fill the vacancy subject to the approval and ratification by the Board of Directors.
